Terms of Service

These Terms govern the use of the Codanova OÜ website.

1.Scope

These Terms of Service govern the use of the Codanova OÜ website (codanova.ee) and the services provided by Codanova OÜ, a private limited company registered in Estonia (Registry code: 17382632). By accessing this website or engaging our services, you agree to these terms.

2. Services

Codanova OÜ provides the following services to business clients (B2B):

  • Shopify theme development and customisation

  • E-commerce technical consulting

  • ERP-to-Shopify integrations

  • Other web development and digital services as agreed in writing

The specific scope, deliverables, timeline and pricing of each engagement are defined in a separate written agreement or proposal between Codanova OÜ and the client.

3. Payment Terms

Invoices are issued in EUR and are due within 14 days of the invoice date, unless otherwise agreed in writing. Late payments may incur interest at a rate of 0.05% per day on the outstanding amount. Codanova OÜ reserves the right to suspend services in the event of non-payment.
 

All services are provided on a reverse charge basis for EU B2B clients. Clients are responsible for accounting for VAT in their own jurisdiction in accordance with applicable law.

4. Confidentiality

Both parties agree to treat all information exchanged in the course of the engagement as confidential. Neither party shall disclose confidential information to third parties without prior written consent, except where required by law.

This obligation of confidentiality survives the termination of the engagement and remains in force for a period of three (3) years thereafter.

5. Intellectual Property

All content on this website, including but not limited to text, graphics, logos and code, is the property of Codanova OÜ and is protected by applicable intellectual property laws.

Upon full payment of all invoices, the client receives a non-exclusive licence to use the deliverables produced under the engagement for their intended purpose. Codanova OÜ retains ownership of any pre-existing tools, frameworks or proprietary code used in the delivery of services.

6. Liability

Codanova OÜ shall not be liable for any indirect, incidental or consequential damages arising from the use of our services or this website, including but not limited to loss of revenue, data or business opportunities.

Our total liability in connection with any engagement shall not exceed the total fees paid by the client for the specific service giving rise to the claim.

We are not responsible for service interruptions caused by factors beyond our reasonable control, including third-party platform outages, force majeure events or client-side technical issues.

7. Termination

Either party may terminate an ongoing engagement by providing 14 days written notice. In the event of termination, the client shall pay for all work completed up to the date of termination. Codanova OÜ shall deliver all completed work upon receipt of final payment.
 

Codanova OÜ reserves the right to terminate an engagement immediately in the event of a material breach by the client, including non-payment.

8. Dispute Resolution

In the event of a dispute, both parties agree to first attempt to resolve the matter through good faith negotiation within 30 days of the dispute arising.

If no resolution is reached, the dispute shall be submitted to the courts of Estonia, which shall have exclusive jurisdiction. These Terms are governed by Estonian law.

9. Changes to Terms

Codanova OÜ reserves the right to update these Terms of Service at any time. The current version will always be published on this website with the date of the last update. Continued use of our services following any changes constitutes acceptance of the updated terms.
